OKX Affiliate Program Agreement

The OKX Affiliate Program is governed by these Terms and Conditions (the "Terms") and is offered by OKX ("OKX", "we", "our", "us", or "the Platform"), subject to the OKX Terms of Service.

1. Overview

1.1 Program Description

The OKX Affiliate Program ("Program") enables affiliates ("Affiliates", "You") to earn commissions by referring eligible users to OKX's platform, in compliance with these Terms and associated Program Rules.

1.2 Binding Agreement

By participating, you agree to these Terms, including limitations on OKX's liability and modifications rights. Non-acceptance requires immediate cessation of Program access.

1.3 Incorporated Documents

These Terms integrate OKX's Terms of Service, Program Rules (Affiliate Rules, Sub-affiliate Rules, Link Rules), and other platform policies.

2. Program Mechanics

The Program compensates Affiliates for qualified referrals per the Program Rules. Key components include:

Sub-affiliate recruitment guidelines.

3. Key Definitions

Associate: Entities under common control.

4. Affiliate Obligations

4.1 Account Accuracy

Maintain truthful, updated registration details. One account per Affiliate.

4.2 Compliance

Adhere to Program Rules and applicable laws.
Avoid promoting in Prohibited Jurisdictions.
Disclose material changes affecting OKX.

4.3 Prohibited Activities

No paid followers/bots.
No misleading claims or unauthorized OKX branding.

5. Commissions & Payments

5.1 Payment Terms

Commissions are paid per Program Rules, tax-exclusive. Affiliates handle all tax liabilities.

5.2 Disputes

Report discrepancies within 30 days of payment.

6. Intellectual Property

6.1 Usage Rights

Affiliates may use OKX trademarks only for approved promotional content.

6.2 Affiliate Content License

You grant OKX a perpetual license to use your promotional materials ("Affiliate Image") for marketing.

7. Confidentiality

7.1 Non-Disclosure

Protect OKX's Confidential Information using reasonable care. Exceptions:

Publicly available data.
Independently developed information.

8. Liability & Indemnification

8.1 Limitation

OKX’s liability is capped at total commissions paid, excluding fraud/personal injury claims.

8.2 Indemnity

Affiliates indemnify OKX for breaches, third-party claims, or regulatory penalties.

9. Termination

9.1 By OKX

Immediate termination for Terms violations or at OKX’s discretion.

9.2 By Affiliate

Notify OKX to cease participation.

9.3 Post-Termination

Surviving clauses: Confidentiality, IP rights, Liability, and Dispute Resolution.

10. Jurisdiction & Disputes

10.1 Governing Law

English/Welsh law applies.

10.2 Arbitration

Disputes resolved via HKIAC arbitration in Hong Kong (English proceedings).
